Use Agreement
Thank you for your Student Competition application for your Team’s participation in this Competition. If approved by The MathWorks, Inc. (“MathWorks”) as described below, you may use the licenses (the “Licenses”) of MathWorks software listed in the Offer of Complimentary Software License(s) previously delivered to you (the “Complimentary Software”) in support of your Team’s participation in this Competition and on behalf of the Competition, and for no other purpose without the prior written consent of an authorized representative of MathWorks. The Licenses are subject to the terms and conditions contained in The MathWorks, Inc. Software License Agreement (the “SLA”) that is delivered with the Complimentary Software. Notwithstanding the terms of the SLA, you may not use the Complimentary Software to deploy an application to a third party, including any of your affiliates. In the event of any inconsistency between the terms of this Agreement and the SLA, the terms of this Agreement shall apply.
The term of the Licenses expires automatically on the last day of the calendar month following the first anniversary of the date the Licenses are created. The Licenses are subject to immediate termination by MathWorks should you or your authorized users utilize the Licenses in a manner inconsistent with this Agreement or the SLA, the determination of which shall be at the sole and absolute discretion of MathWorks.
You agree that you will not export, re-export, resell, transfer or otherwise dispose of the Complimentary Software contrary to the U.S. Export Administration Regulations except as specifically authorized by the U.S. Export Administration Regulations (15 C.F.R. parts 730-774), or by prior written approval of the Bureau of Industry and Security and/or MathWorks.
Furthermore, you agree to ensure that all Complimentary Software provided hereunder is uninstalled promptly after the Competition or, for installations on computers owned by individuals, after the relevant individual’s participation in the Competition – whichever is earlier.
You hereby permit MathWorks and its affiliates to, in their sole discretion, use, reproduce and distribute the Images for non-exclusive purposes, in any format or media, throughout the world in perpetuity, although you understand that MathWorks is not obligated to do so. “Images” is defined as your logos, and all images and video of anyone participating in the Competition.
You represent that you are an authorized representative of University. To confirm your agreement to these terms, please click “I agree”. You understand that your application is subject to MathWorks approval, and that your Licenses shall only be deemed effective upon your receipt of an approval email from MathWorks.
